1. Who you are contracting with

These Terms govern your use of TorqueWorks (the "Service"), provided by A,Ivanovs ("we", "us", "our"), trading as TorqueWorks. By creating an account or using the Service, you agree to these Terms.

2. The service

TorqueWorks is a workshop management application providing digital job cards, live job progress tracking, parts and fluid inventory, invoicing, and related tools for mechanic shops and their customers.

3. Accounts

You must provide accurate registration information and keep it up to date. You are responsible for activity under your account and for keeping your credentials confidential. If you sign up on behalf of an organisation, you confirm you have the authority to bind it to these Terms.

4. Acceptable use

You must not:

• use the Service unlawfully or to commit fraud or send spam;
• infringe anyone's intellectual property or privacy rights;
• upload malware or attempt to probe, scan, or interfere with our infrastructure;
• scrape, reverse engineer, resell, or redistribute the Service;
• circumvent any technical limits or access controls.

5. Intellectual property

We retain all rights, title, and interest in the Service, including software, documentation, and branding. You retain ownership of the data and content you upload, and grant us a limited licence to host and process it solely to provide the Service.

6. Payment, billing & subscription

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Subscription fees, billing frequency, renewals, taxes, cancellations and refunds are governed by Paddle's Buyer Terms together with our Refund Policy.

7. Service level

We work hard to keep the Service available and reliable, but do not guarantee uninterrupted or error-free performance.

8. Warranties & liability

To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties including merchantability and fitness for a particular purpose. Our aggregate liability is limited to fees you paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation is prohibited by law.

9. Suspension & termination

We may suspend or terminate access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service at any time. On termination, your access ends and your data may be deleted after a reasonable export window.

10. Indemnity

You agree to indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

11. Governing law

These Terms are governed by the laws of the jurisdiction in which A,Ivanovs is established, and disputes will be brought before its competent courts, unless mandatory consumer law provides otherwise.

12. Changes

We may update these Terms from time to time. Material changes will be communicated through the Service. Continued use after changes constitutes acceptance.
